These Terms of Service govern the relationship between SofsandVivs LLC and any person who visits this website, requests an estimate, borrows fabric swatches, commissions a piece of soft furnishing work, or brings a piece to the loft for repair. By using the site or engaging the workshop, a client agrees to these terms. A person who does not agree should not use the site or request work.
These terms apply together with the written estimate issued for a specific commission and with our Privacy Policy. Where a signed estimate or a written variation addresses a point covered here, the specific written document governs for that commission. Nothing in these terms removes a right that applicable consumer law does not allow to be removed.
These terms are written in plain language and should be read in full before a deposit is paid. A question about a clause is welcome at any time, and we would rather explain a term before a commission begins than resolve a misunderstanding afterward.

SofsandVivs LLC is a limited liability company operating a soft furnishing workshop in Murray, Utah. The workshop occupies a working loft rather than a retail showroom, and the address for all correspondence, deliveries and pickups is 6423 S Westridge St, Murray - 84107-7748, United States (US).
Business is conducted during loft hours, which are Monday to Friday from 9:00 to 18:00, with Saturday visits by appointment. Heirloom repair evenings run on a scheduled evening each month and are announced to clients who have asked to be told. The telephone number for the workshop is +12315632566 and the email address for orders and questions is orders@sofsandvivs.buzz.
The company builds tufted footstools, sews cushion covers, reupholsters bench seats, lends fabric swatches, cuts and refills foam, and repairs heirloom pieces. These are the services covered by these terms. Any other work is outside scope unless agreed in writing.
The workshop offers six lines of service. Tufted footstool builds cover the design and construction of a complete stool, including frame, deck, fill and tufted cover. Cushion cover sewing covers the measurement and sewing of replacement or additional covers for loose cushions and bolsters. Bench seat reupholstery covers the strip, deck repair, fill and re-cover of built in or freestanding benches.
Fabric swatch loans allow a client to borrow samples for a short period so that a fabric can be assessed in the intended room. Foam cut and refill covers the cutting of new foam to a profile and the replacement of tired fill inside a serviceable cover. Heirloom repair nights cover the assessment and repair of pieces with family or historical value, with a preference for conservation over wholesale replacement.
Each service is described in more detail on the Services page of this website. The description on that page is an outline, not a fixed specification. The specification for a particular piece is the written estimate issued for that commission, together with any drawings or notes attached to it.
We reserve the right to decline work that cannot be completed to a reasonable standard, that falls outside our skills or equipment, or that would require us to breach a law or a safety obligation. If we decline a commission after a deposit has been taken, the deposit is refunded in full.
An estimate is prepared after a consultation or after measurements and photographs have been reviewed. The estimate states the work included, the materials specified, the price and the expected timing. An estimate is valid for thirty days unless a different period is stated in writing, because fabric and foam prices move with the market.
An estimate is based on the information available at the time. If a piece reveals unexpected damage once it is stripped, or if the chosen fabric requires more work than anticipated, we will explain the difference and provide a revised estimate before proceeding. No additional charge is made without the approval of the client.
An estimate is not a guaranteed completion date. Timing depends on the current queue, on the availability of the chosen fabric and on the work required to bring a frame or a deck back to a sound condition. We will give an honest expected window and will tell a client promptly if that window changes.
A deposit is required to reserve bench time and to order fabric or foam for a commission. The deposit amount is set in the estimate and is usually a proportion of the total price. The deposit is applied to the final balance and is not an additional fee.
The final balance is due before a piece is released for pickup. We accept the payment methods listed on the estimate and record every payment on the job card. A payment that has not cleared may delay pickup, and a piece held beyond the pickup period described in these terms may attract a storage charge.
A deposit is refundable where the commission is cancelled within the cooling period described in the section on changes and cancellations, and where SofsandVivs LLC is unable to complete the work. Where fabric has been cut or a frame has been built specifically for a client, a portion of the deposit may be retained to cover materials already committed. Any retention is explained in writing with the amount and the reason.
Fitting visits are scheduled by agreement and confirmed in writing. A client should arrive with the piece or with accurate measurements, and should allow enough time for a proper fitting rather than a quick look. A fitting that cannot be completed because the piece is missing or the measurements are wrong may need to be rescheduled.
If a client needs to change an appointment, we ask for as much notice as possible, and at least one working day where the change is not caused by an emergency. Repeated missed appointments may result in a rebooking fee, which will always be stated before it is applied.
The loft is a working space with sharp tools, heavy frames and moving pieces. Visitors are asked to keep children under supervision, to stay clear of the cutting table while it is in use, and to follow any safety instruction given by workshop staff. We reserve the right to ask a visitor to leave if their conduct creates a risk to themselves or to others.
A client is responsible for providing accurate information about the piece, its history, its intended use and the environment in which it will live. A footstool built for a sunroom and a footstool built for a basement both need to be described honestly, because fabric and fill choices depend on light, humidity and traffic.
A client is also responsible for confirming that they own the piece or are authorized to have it altered. We do not knowingly accept work on a piece that is the subject of a dispute over ownership. If a claim is made while a piece is in the loft, we may pause the work until the claim is resolved.
A client should tell us about pets, smoke exposure, previous repairs and any treatment applied to a fabric or frame. This information affects how a piece is handled, how a repair is documented and what expectation is reasonable for the finished result.
Finally, a client is responsible for reading the estimate and for raising a question before approving it. An approval given by email or in writing is treated as full acceptance of the scope and price described in the estimate.
Clients may supply their own fabric. Client supplied fabric is inspected on arrival, and we will say plainly if it is too light, too loosely woven or otherwise unsuitable for the intended seat. If a client insists on proceeding with unsuitable material, the work may be completed without a workmanship warranty covering the behavior of that material.
We are not responsible for a defect inherent in a material supplied by a client, including fading, shrinking, pilling, delamination or a pattern that cannot be matched across a seam. We will use reasonable care in cutting, but a limited quantity of client fabric increases the risk that a flaw cannot be worked around. Clients are encouraged to supply a small allowance beyond the measured requirement.
Where we supply the fabric, we source from established mills and will show a sample before ordering. Natural variation in color, weave and texture is normal and is not a defect. A small difference between a swatch and a delivered roll is common in textiles and will be discussed if it is material.
Fabric swatch loans are offered so that a fabric can be seen in the room where it will be used. A client may borrow up to twelve cut swatches for one week. Swatches travel in a canvas sleeve and should be returned flat, dry and free of stains.
Loans are recorded in a ledger with the client name, the swatch numbers, the date out and the expected return date. A small deposit may be taken for a loan by a visitor who does not yet have an open commission. The deposit is applied to the first cut if a fabric is chosen, or returned when the swatches come back in usable condition.
A swatch that is lost, badly stained or torn may result in a charge to cover the replacement of the sample. Swatches that have simply frayed at the edge from handling are not charged. A late return may delay another client who has asked for the same sample, so we ask that overdue swatches be returned promptly or that the loft be told if more time is needed.
A client may cancel a commission without charge within three working days of approving the estimate, provided that no fabric has been cut and no frame has been built. After that period, or once materials have been committed, cancellation may result in the retention of a portion of the deposit to cover work already done and materials already purchased.
Changes to the scope of a commission are welcome where the bench schedule allows. A change is confirmed with a revised estimate, and the revised price and timing replace the earlier version once the client approves it. A change requested after cutting has begun may not be possible, and we will say so directly rather than accept a change that cannot be delivered well.
If SofsandVivs LLC must cancel or postpone a commission for a reason within our control, we will notify the client promptly, offer the next available slot and refund any deposit that has not been applied to committed materials. We are not liable for indirect losses arising from a delay, such as a room that is not finished for an event.
A piece is complete when it has passed the fitting check on the bench and the final balance has been settled. We will notify the client by email or telephone when a piece is ready. Pieces are held at the loft for thirty days after notification without charge.
A piece held beyond thirty days may attract a storage charge, which will be stated in writing before it is applied. We do not dispose of a piece without repeated attempts to contact the client and a final written notice. Where a piece remains uncollected long after notice, the company may handle it in accordance with applicable law governing uncollected goods.
Pickup is by appointment during loft hours. A client who sends another person to collect a piece should tell us in advance and provide the name of the collector. The client remains responsible for the balance until it is paid in full.
We warrant our workmanship for twelve months from the date of pickup. The warranty covers a failed seam, a button that pulls loose under normal use, a deck that sags because of our construction, and a frame joint that opens without abuse. It does not cover wear and tear, a stain, a pet scratch, a tear caused by a sharp object, or a change in appearance that results from normal use of a fabric.
If a covered defect appears, contact the loft with a photograph and a description. We will inspect the piece, and if the defect is covered we will repair it at no charge. Where a repair is not possible, we will discuss a fair remedy. The warranty applies to the original client and to a person who receives the piece as a gift from that client.
Warranty work is scheduled around the current bench queue, but covered repairs are given priority over new commissions. A piece that has been altered by another workshop after pickup is no longer covered for the altered area. The warranty is in addition to any right that applicable consumer law provides.
Heirloom work is handled with a conservation mindset. Our default is to keep as much original material as possible, to use reversible methods where they are sound, and to document what was done. A repair is intended to make a piece usable and stable, not to make it look factory new.
Some pieces carry risks that cannot be removed. Old upholstery may conceal a weakened frame, brittle webbing, degraded foam or a fabric that tears at a touch. We will describe these risks before work begins, and we will ask the client to approve the approach in writing. Where a hidden defect makes the agreed approach impossible, we will stop and discuss alternatives rather than proceed on an assumption.
Heirloom repairs are documented with before and after photographs and a written note of what was kept and what was replaced. These records belong to the workshop and may be shared with the client. A request for confidentiality is honored, and such a piece is not used in any public example or portfolio.
To the fullest extent permitted by law, SofsandVivs LLC is not liable for indirect, incidental, special or consequential losses arising from a commission or from use of this website. This includes loss of profit, loss of enjoyment, the cost of substitute furnishings and the cost of a delayed event. Our total liability for a commission is limited to the amount paid for that commission.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot be limited by law. Some jurisdictions do not allow certain exclusions, and in those places the exclusion applies only to the extent permitted.
We are not responsible for a piece left at the loft beyond the pickup period, for loss caused by a force outside our control, or for damage that results from a client instruction that we have advised against in writing. We are responsible for the reasonable care of a piece while it is in our custody, and we carry the ordinary insurance of a working workshop.
The text, layout, drawings, photographs and code on this website belong to SofsandVivs LLC or are used with permission. A visitor may read, print or share a page for personal and non commercial use. Republishing a page, copying the design for another business or using our photographs in advertising requires written permission.
Designs created for a client, including a specific stool proportion or a particular cushion pattern, are made for that client to enjoy. The workshop may retain the general know how and may reuse standard construction methods, since those methods are part of the craft rather than a client asset. A client who wants a design kept exclusive should raise the point before work begins, and we will agree the terms in writing.
Photographs taken in the loft of a client piece are used for documentation. We will not publish a photograph of a client piece without permission. A client may request copies of the documentation for their own records at any time.
The website is provided for information about the workshop and its services. A visitor agrees not to attempt to disrupt the site, to gain unauthorized access to any system, to scrape content at a volume that affects availability, or to use the contact form to send unlawful, abusive or misleading material.
The site is offered as it stands. We work to keep it accurate and available, but we do not promise that every page will be free of error or that the site will never be interrupted. A price or a date mentioned on the site is indicative only; the binding figure is the written estimate for a commission.
Links to other websites are provided for convenience. We do not control those sites and are not responsible for their content, their availability or their handling of personal information.
Our handling of personal information is described in the Privacy Policy published on this site. The Privacy Policy explains what we collect, why we collect it, how long we keep it and how a person can exercise a privacy right. It forms part of the agreement between a client and SofsandVivs LLC.
Information recorded on a job card, in the swatch loan ledger and in repair records is used to deliver the services described in these terms and to support a later repair. It is not sold and is not used for advertising. A client who wishes information to be deleted should write to orders@sofsandvivs.buzz, and we will respond as described in the Privacy Policy.
Messages sent through the contact form are handed to the client mail program rather than stored on the web server. A client who prefers not to use the form may telephone the loft at +12315632566 or write directly to the address above.
These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. A dispute that cannot be resolved by conversation will be brought in a court of competent jurisdiction in Utah, unless applicable consumer law gives the client a right to bring the matter elsewhere.
Before formal steps are taken, we ask that the client write to orders@sofsandvivs.buzz with a clear description of the concern and the remedy sought. Most disagreements about a seam, a fill or a fitting can be resolved with an inspection at the loft. We will respond in writing within a reasonable period and will propose a practical next step.
Where a piece must be inspected, the client is asked to bring it to 6423 S Westridge St, Murray - 84107-7748, United States (US) at a scheduled time. If the piece cannot be transported, we will discuss an alternative that is fair to both parties.
If a provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. The invalid provision is treated as modified to the minimum extent needed to make it enforceable, consistent with the original intention.
A failure by SofsandVivs LLC to enforce a provision on one occasion is not a waiver of the right to enforce it later. A waiver is effective only when given in writing and signed by an authorized representative of the company.
These terms, together with the written estimate for a commission and the Privacy Policy, form the entire agreement between the client and SofsandVivs LLC for the services described. A variation must be agreed in writing, and an oral promise that is not confirmed in writing does not alter these terms.
The company may update these terms when its services or its legal obligations change. The effective date at the top of this page shows the current version. A commission already accepted continues under the terms in force when the estimate was approved, unless a change is required by law.
Questions about these terms, a commission or a repair can be directed to SofsandVivs LLC using the details below. We are a small workshop and prefer a direct conversation to a formal exchange of letters.
